What is Roman v. Grimalt: Vessel Sale Dispute about?

Roman verbally agreed to sell his schooner Santa Marina to Grimalt in three installments, provided Roman could produce proper title papers showing he owned the vessel. However, before Roman produced the papers, the vessel sank in a storm. Roman sued Grimalt to pay, but both the lower court and Supreme Court ruled in favor of Grimalt, finding no perfected contract of sale existed since Roman did not prove his ownership, and therefore the risk of loss remained with the owner, Roman.
