Promoters stand in a fiduciary relationship with the company they are creating and owe duties of utmost good faith and cannot make secret profits. Full disclosure must be made by promoters of any interests or profits they receive. Pre-incorporation contracts can be ratified by the company after formation and will then be treated as if the company was a party from the beginning.
