The petitioners Ang Pue and Tan Siong, both Chinese citizens, formed a partnership in 1953 called Ang Pue & Company to operate a general merchandising business for 5 years. In 1954, the Philippine government passed RA 1180 limiting partnerships not wholly formed by Filipinos to retail businesses only. Prior to the expiration of their original 5-year term, the petitioners amended their partnership agreement to extend the term. The SEC rejected this, citing RA 1180. The Supreme Court upheld the SEC
