The Supreme Court ruled that no contract of agency existed between Florencia Baluyot and Manila Memorial Park Cemetery, Inc. (MMPCI). While Baluyot presented Pedro Linsangan with an offer to purchase a cemetery lot from a previous owner, Baluyot was only an independent contractor of MMPCI, not an authorized agent. MMPCI did not ratify or have knowledge of the arrangement between Baluyot and Linsangan. The Court found MMPCI was not bound by Baluyot
