1) Lourdes, the owner of a parcel of land, leased the land to Roberto for 3 years and later offered to sell the land to him within 2 years. 2) After the lease expired, Lourdes sold the land to her family members without notifying Roberto. 3) The Court ruled that the agreement between Lourdes and Roberto was an option contract, not a right of first refusal, since the price and period were fixed. As an option contract, Roberto did not have a right to match the terms of the later sale.
