The purpose of this book is to provide a succinct and practical overview of the legal, financial and administrative aspects of corporate mergers and acquisitions in the Federal Republic of Germany. Aimed at business executives and their professional advisors unfamiliar with German law, it seeks to give them a basic understanding of the key issues relevant to acquisition and merger activities in Germany. This book is not a substitute for professional advice. On October 3, 1990, the German Unification was formally completed by the accession of the German Democratic Republic (GDR) to the Federal Republic of Germany. The territory of the former GDR was transformed into the so-called Five New States of the Federal Republic. The unification resulted, in principle, in the immediate extension of the entire legal system of West Germany - including EC-Law - to the whole of Germany. There are numerous exceptions to this rule, however. Some of the West German laws apply only with modifications or under special conditions in East Germany. Some laws of the former GDR remain in force. New laws have been enacted during the unification process which apply exclusively in the territory of the Five Ne
